These Terms of Service govern your access to and use of our website, mobile applications, and related services that enable ordering and delivery of food across Toronto and the surrounding Ontario regions. By using our services you agree to these terms and to our Privacy Policy. If you are a restaurant, driver, or other partner, separate partnership or driver agreements may apply and take precedence for the relationship. Services, accounts, and ordering
NorthBite provides an online marketplace that connects customers with local restaurants and delivery professionals. When you place an order, the contract for sale is between you and the restaurant that prepares the food, unless otherwise stated. We facilitate order transmission, payment processing, and delivery coordination, and we may act as an agent or as the merchant for certain transactions. You are responsible for providing accurate account and delivery information, and for keeping any account credentials secure. Orders placed through our platform must comply with the restaurant's policies and availability. We reserve the right to refuse service or cancel orders for legitimate reasons, including product availability, pricing errors, suspected fraud, or safety concerns. If we cancel an order after payment, we will issue a prompt refund according to the payment method used and applicable refund timelines. Customers must provide a valid delivery address and any necessary access information; drivers will follow delivery notes provided at checkout when safe and feasible.
Payments, fees, and refunds
Prices displayed on the platform include the restaurant price and may include service fees, delivery fees, taxes, and optional charges such as packaging selections. Payment is processed through third-party payment processors that meet industry security standards. By submitting payment you confirm you are authorized to use the chosen payment method. Fees are non-refundable where the restaurant has prepared and delivered the order successfully. If an order is cancelled or is not fulfilled due to a platform or restaurant error, NorthBite will issue a refund in accordance with our refund policy and applicable law. For disputes about payment, chargebacks, or refunds, contact our support team and provide order references and any supporting information. In addition to refunds, we may offer credits or promotions at our discretion to address customer concerns. Where required by law we will comply with consumer protection rules that govern refunds, cancellations, and returns for food services within our operating regions.
Limits of liability and governing law
NorthBite aims to provide reliable service, but the platform is provided as-is and as-available. To the fullest extent permitted by law, NorthBite and its affiliates exclude liability for indirect, incidental, special, or consequential damages arising from use of the platform, including loss of profits, loss of data, or missed delivery windows. Our aggregate liability for direct damages arising from our gross negligence or willful misconduct will be limited to the amount paid for the relevant order or, where applicable, statutory limits. Nothing in these terms affects your statutory rights where they cannot be excluded. These terms are governed by the laws of the province of Ontario and the federal laws of Canada that apply in Ontario. Disputes should be raised promptly through our support channels so we may attempt to resolve them informally. If a dispute proceeds, you agree that courts located in Toronto, Ontario will have exclusive jurisdiction unless otherwise required by applicable law. Consumer protections that cannot be waived will apply as required by local law.
Intellectual property and content
All content on the NorthBite platform, including logos, text, images, and interface designs, is protected by intellectual property laws. You may view and use content for personal, non-commercial purposes only. You may not reproduce, distribute, or create derivative works without express written permission. Restaurants retain ownership of their menu content and are responsible for accuracy. By providing content to NorthBite, partners grant NorthBite a license to use and display that content for service delivery and marketing where permitted. If you believe content on the site infringes your rights, notify our legal team with sufficient detail so we can investigate and take appropriate action. We respect intellectual property rights and will respond to valid claims in accordance with applicable law.
Changes, termination, and contact
We may revise these Terms of Service from time to time to reflect operational changes or legal requirements. Material changes that affect your rights will be communicated via prominent notice on the platform or by email prior to taking effect. Continued use of the services after the changes indicates acceptance of the updated terms. We may suspend or terminate accounts for violation of these terms, illegal activity, or conduct that harms other users or our operations.
